Online Orientation Programme for Directors of Listed Companies | January 10, 2022

The School for Corporate Governance, of National Institute of Securities Markets (NISM) had conducted an Online Orientation Programme for Directors of Listed Companies on January 10, 2022.

The programme was aimed at sensitizing the members of Board of Directors of listed entities about their roles & responsibilities and also the liabilities attached to the Board level positions. Further, the programme deliberated on the area of boardroom dynamics, especially about the behavioural and cultural underpinnings.

Mr. M Krishnamoorthy, Programme Director & Member of Faculty, NISM. welcomed the dignitaries and the participating directors and key managerial personnel.

Dr. CKG, Nair, Director, NISM, in his inaugural address mentioned that the corporate misgovernance gets more attention than corporate governance. Director-NISM shared his view on norm vs law and also on compliance vs governance and requested the listed companies to comply in both letter and spirit.

Mr. Amarjeet Singh, Executive Director, SEBI, spoke at length about the regulatory expectations from the Board of directors.  He was of the view that the directors are gatekeepers of corporate governance and also shared his views on Principle Vs Rule approach, Stakeholder Welfare Vs Shareholder Wealth Maximization.

Mr. R Gopalakrishnan, Chairman, Castrol India Ltd shared his insights on the role of Board, role of Board of directors and as well as on Board dynamics. He was of the opinion that apart from regulatory expectations, listed companies should focus on non-regulatory expectations as well.   He beautifully elaborated 10 approaches to Board Room decision making and concluded his speech by a quote by Shri Rabindranath Tagore, “Searching the unknown in known”.

Dr. V. R. Narasimhan, Dean, NISM gave an overview of statutory and regulatory perspectives on board and role and responsibilities of directors. He spoke at length about corporate governance and why it should be a concern for Directors.

During the Q&A session, the Speakers addressed all the queries raised by the participating directors.

The programme was attended by 40 Directors/KMPs and it was well-received by one and all. The participants enjoyed as well as benefitted from the deliberations.

The programme concluded with a vote of thanks by Mr M Krishnamoorthy, Programme Director & Member of Faculty, NISM.
